From what I understand about the factions is they will remain neutral until you either attack them or show up on the tactical screen after dark. That's not to say that you can't occupy a sector they are on after dark, you just can't go to the tactical screen.
The downside of leaving them alive is if you ever have to appear on the tactical screen (attacked by redshirts at night, etc.) you will have to fight them and it may not be a convenient time for you.
I always just wipe them out as soon as I can. If anyone knows a way to avoid this I'd sure like to know.
